Ponuz Terms of Service and End User License Agreement

These Terms of Service and End User License Agreement (the "Terms") govern access to and use of Ponuz, the website at https://www.ponuz.com, the Ponuz desktop application, and related backend services (collectively, the "Service"). The Service is provided by Ponuz, LLC, a Delaware limited liability company ("Ponuz," "Company," "we," "us," or "our").

By creating an account, accessing the website, downloading, installing, or using the Service, you agree to be bound by these Terms and by the Privacy Notice. If you use Ponuz on behalf of an organization, you represent that you have authority to bind that organization.
You must be at least 18 years old and legally capable of entering into a binding agreement. If you do not agree, do not access, install, or use the Service.
Ponuz is an AI-powered productivity platform for professionals and teams. It includes meeting recording and transcription, AI-generated summaries, task extraction and management, a knowledge base, document import and generation, contextual AI chat, voice sessions, proactive notifications, workspace collaboration, and a floating desktop overlay.
Supported platforms include macOS, Windows, and the Ponuz website. Some features may require operating system permissions, an active internet connection, a microphone, screen capture permission, global keyboard shortcuts, or workspace-level configuration.
Ponuz may update the desktop application automatically or provide update prompts. By installing the desktop application, you consent to update checks and installation mechanisms required to keep the software secure and functional. For versions distributed through the Microsoft Store, Microsoft Store may manage the update lifecycle instead of Ponuz's built-in updater.
Users must provide accurate account information and keep credentials confidential. Authentication may be handled through WorkOS and may include email/password, Google, or enterprise SSO, depending on configuration.
A workspace is a shared environment where authorized users collaborate. Workspace roles may include Owner, Admin, and Member. The Workspace Owner is responsible for billing, member management, workspace configuration, and obtaining any consents needed for data processed in the workspace.
Deleting a workspace or an owner account may permanently affect other members' access to shared workspace content, including meetings, transcripts, tasks, documents, knowledge base articles, AI conversations, and workspace settings. Ponuz may notify affected members when reasonably appropriate, but the Workspace Owner remains responsible for workspace administration.
Ponuz offers paid subscription plans. Current standard pricing is Pro at $25 USD per user per month, or $20 USD per user per month when billed annually; and Business at $100 USD per user per month, or $80 USD per user per month when billed annually. Prices are exclusive of taxes unless stated otherwise.
Payments, payment methods, invoices, billing portal access, recurring charges, and subscription management are processed through Stripe. By subscribing, you authorize recurring charges according to the selected plan, billing interval, number of seats, and applicable taxes.
Monthly plans are non-refundable for partial billing periods.
Annual plans may receive a prorated refund for unused time if requested within 30 days of subscription.
Cancellation stops future renewal charges but does not automatically refund the current paid period.
Certain consumer protection laws may provide non-waivable cancellation or withdrawal rights. Where such laws apply, those mandatory rights control over any conflicting provision in these Terms.
You may use Ponuz only for lawful professional productivity, team collaboration, meeting documentation, task management, knowledge management, and AI assistance. You are solely responsible for complying with all laws applicable to your use.
You may not use the Service to engage in unlawful activity, surveillance, espionage, unauthorized monitoring, infringement, privacy violations, harassment, fraud, spam, phishing, malware, scraping, denial-of-service activity, credential abuse, reverse engineering, or attempts to access third-party API keys or non-public systems.
You may not resell, sublicense, white-label, or use Ponuz to provide transcription, AI, productivity, or knowledge-management services to third parties as your own product without a separate written agreement.
You are solely responsible for obtaining all legally required consent before recording, transcribing, analyzing, or storing any conversation, meeting, call, or third-party data through Ponuz. This includes informing participants about recording, AI transcription, storage of transcripts, summaries, and extracted tasks.
Ponuz may provide notices, prompts, or audio announcements as a convenience. These do not replace your legal obligation to obtain valid consent. You assume all liability arising from recordings, transcriptions, screenshots, or data processing performed without adequate consent.
You retain ownership of your User Content, including meeting transcripts, tasks, notes, documents, knowledge base content, screenshots, AI chat messages, and uploaded materials. You grant Ponuz a limited, worldwide, non-exclusive license to host, store, process, transmit to necessary service providers, display to authorized workspace members, create embeddings from, and generate AI outputs from your User Content solely to provide and operate the Service.
Ponuz does not use your User Content to train, improve, or develop its own artificial intelligence models or third-party artificial intelligence models.
AI-generated summaries, tasks, documents, chat responses, memory facts, and recommendations may be inaccurate, incomplete, biased, outdated, or misleading. You must review and verify AI output before relying on it. AI output is not legal, medical, financial, tax, security, or other professional advice.
Subject to these Terms and your active subscription, Ponuz grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, access, and use the proprietary Ponuz software and Service solely for your internal business or personal productivity purposes.
Ponuz is private, proprietary software. Except as expressly allowed by law, you may not copy, clone, reproduce, distribute, publish, sell, rent, lease, lend, sublicense, modify, create derivative works from, reverse engineer, decompile, disassemble, attempt to derive source code from, bypass technical protections in, or build a competing product using the software, user interface, workflows, algorithms, models, prompts, documentation, or non-public functionality of Ponuz.
All rights not expressly granted are reserved by Ponuz and its licensors. Open source components, if any, remain subject to their own licenses, and nothing in these Terms restricts rights granted by applicable open source licenses.
Personal data processing is governed by the Ponuz Privacy Notice. Ponuz uses third-party providers necessary to deliver the Service, including Amazon Web Services (AWS), OpenAI, Deepgram, Recall.ai, WorkOS, Stripe, Resend, Sentry, Vercel, and Cloudflare. These providers may process data as described in the Privacy Notice.
No system is perfectly secure. Ponuz implements reasonable technical and organizational safeguards, but you acknowledge that use of cloud, AI, transcription, and networked software involves inherent risk.
The Service is provided on an "as is" and "as available" basis. Ponuz does not guarantee uninterrupted availability, error-free operation, perfect transcription accuracy, complete data recovery, compatibility with every device or configuration, or continued availability of any third-party provider.
Ponuz may add, modify, suspend, or discontinue features, providers, limits, plans, or technical requirements. For material changes that negatively affect paid users, Ponuz will use reasonable efforts to provide advance notice.
You may stop using Ponuz, cancel your subscription, or delete your account at any time. Ponuz may suspend or terminate access for material breach, non-payment, security risk, suspected fraud, unlawful use, legal requirement, or discontinuation of the Service.
Upon termination, your license ends and you must stop using and uninstall the desktop application. Data retention and deletion are handled according to the Privacy Notice and applicable law.
Ponuz, the software, website, backend systems, source code, object code, user interface, designs, workflows, trademarks, logos, documentation, prompts, and related technology are owned by Ponuz, LLC or its licensors.
If you provide feedback, suggestions, ideas, or bug reports, you grant Ponuz a perpetual, irrevocable, worldwide, royalty-free license to use and commercialize that feedback without restriction or compensation.
If you believe content processed through Ponuz infringes your intellectual property rights, contact us at contact@ponuz.com with enough information to identify the work, the allegedly infringing content, your contact information, and a statement that you believe in good faith that the disputed use is unauthorized. Ponuz may request additional information and may remove or restrict access to content when appropriate.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PONUZ DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PONUZ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR PRODUCTIVITY; DAMAGES ARISING FROM AI OUTPUT, TRANSCRIPTION ERRORS, RECORDING WITHOUT CONSENT, SCREEN CAPTURE, THIRD-PARTY PROVIDERS, OR SERVICE INTERRUPTIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PONUZ'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PONUZ IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100 USD.
You agree to indemnify, defend, and hold harmless Ponuz, LLC and its members, managers, officers, employees, contractors, agents, affiliates, successors, assigns, and service providers from claims, losses, liabilities, damages, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Service, User Content, violation of these Terms or law, violation of third-party rights, recordings or screenshots without adequate consent, workspace disputes, or reliance on AI-generated content.
These Terms are governed by the laws of the State of Delaware and applicable federal laws of the United States, without regard to conflict-of-law rules. Subject to any mandatory consumer rights that cannot be waived, the state and federal courts located in Delaware, United States, shall have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.
Before filing a claim, the parties will attempt in good faith to resolve the dispute informally for 30 days after written notice. To the maximum extent permitted by law, claims must be brought individually and not as a class, collective, representative, or consolidated action.
These Terms, together with the Privacy Notice and any written order form or enterprise agreement signed by Ponuz, constitute the entire agreement regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without Ponuz's prior written consent. Ponuz may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
The English version controls if there is any conflict with a translation, unless applicable law requires otherwise.
